A. General terms and conditions of business and use 1. Scope of application of the customer

We, from NNG marketplace - www.agroswiss.ch (hereinafter referred to as "NNG marketplace - www.agroswiss.ch "), operate under the Internet domain: www.agroswiss.ch. an internet portal on which third parties advertise and offer sales outlets (agricultural direct marketing & wholesale). We ourselves also offer goods and services and accept declarations from users, but we do not accept declarations from users for sellers and providers.

Our general terms and conditions of use below apply to all actions that Internet users can undertake via the www.agroswiss.ch website. The operator of the website www.agroswiss.ch is:

§1 Validity of the conditions

The deliveries, services and offers from NNG marketplace - www.agroswiss.ch are made exclusively on the basis of these terms and conditions, even if they are not expressly agreed again. When the goods or services are ordered, these terms and conditions are deemed to have been accepted. The buyer's general terms and conditions of purchase are hereby rejected. Deviations from these terms and conditions are only effective if we confirm them in writing.

§2 offer and conclusion of contract

The offers of the NNG marketplace - www.agroswiss.ch in price lists and advertisements are subject to change and non-binding. Orders are only binding for the NNG marketplace - www.agroswiss.ch after written confirmation. Order confirmations are only issued upon express request. The information in our sales documents (drawings, images, dimensions, weights and other services) are only to be understood as guidelines and do not represent an assurance of properties, unless they are expressly designated as binding in writing. If a buyer exceeds his credit limit by placing an order, we are released from our delivery obligation.

§3 prices

The prices stated in our order confirmation are decisive. These are fixed for stock items at the time of ordering. In the event of delivery bottlenecks and errands, the daily price on the day of the order applies. Unless otherwise agreed, the prices do not include transport costs.

§4 delivery and performance time

Dates and delivery times are non-binding, unless otherwise expressly agreed in writing. The specification of certain delivery times and dates by the NNG marketplace - www.agroswiss.ch is subject to correct and timely delivery to the NNG marketplace - www.agroswiss.ch by suppliers and manufacturers.

Delivery area: Switzerland and Lichtenstein

Orders from Switzerland and Lichtenstein are usually sent within 24 hours by Swiss Post in suitable packaging and PostPac Economy (B Post = CHF 7.00) or PostPac Priority (A Post = CHF 9.00).

In addition, there is the option of picking up the products from the supplier himself or having them delivered by him.

Payment options: Switzerland and Liechtenstein Convenient 24 days on account, PostFinance, Paypal, Twint, crypto currencies or credit card.

You will receive an email with the text immediately before your item is dispatched! "Successfully completed and sent". Until then, you can still cancel your estimated order via email to [email protected] or by phone on +41 (0) 62 929 05 32.

§5 default of acceptance

If the buyer refuses to accept the delivery items after a grace period set for him or declares that he does not want to accept the goods, NNG marketplace -www.agroswiss.ch refuse to fulfill the contract and demand compensation for non-fulfillment. NNG marketplace - www.agroswiss.ch is entitled to demand 15% of the agreed purchase price as compensation for at least CHF 15.00 as a cancellation fee or to demand compensation for the damage actually incurred from the buyer.

§5-1 refusal of acceptance

Delivered goods can no longer be canceled. In the event of a refusal to accept and goods that have not been picked up, we will charge 15% of the invoice amount as a cancellation fee, but at least CHF 15.– or compensation for the damage actually incurred.

§6 delivery / return / exchange / right of withdrawal

Visible differences in quantity must be reported in writing to the NNG marketplace - www.agroswiss.ch and the carrier immediately upon receipt of the goods, hidden differences in quantity within 4 days of receipt of the goods. Complaints regarding damage, delay, loss or poor packaging must be reported immediately upon receipt of the consignment.

We do not compromise on the quality of the goods we deliver:

  • We grant a right of withdrawal for our deliveries. This expires 14 days after the date of invoicing. In the case of returns, the invoice must be enclosed, otherwise processing is not possible.
  • Any damage in transit must be reported to us within 48 hours. Otherwise the right to a free replacement expires.
  • Returns due to disapproval are excluded.

§7 Transfer of Risk

The risk passes to the buyer as soon as the shipment has been handed over to the person carrying out the transport. If the dispatch is delayed or becomes impossible through no fault of ours, the risk passes to the buyer upon notification of readiness for dispatch. A transfer of the transport costs agreed in individual cases by NNG marketplace - www.agroswiss.ch has no influence on the transfer of risk.

§8 warranty

The warranty in accordance with the following provisions is 2 years unless otherwise expressly agreed in writing. The warranty period begins on the date of delivery. If our operating or maintenance instructions are not followed, changes are made, parts are exchanged or consumables are used that do not correspond to the original specifications, any warranty is void if the defect can be traced back to this. This also applies if the defect can be traced back to improper use, storage and handling of the article, or tampering with the article. Insignificant deviations from the warranted properties of the goods do not trigger any warranty rights. Liability for normal wear and tear as well as consumables / accessories / enclosed sponges etc. is excluded. Warranty claims against NNG marketplace - www.agroswiss.ch are only available to the direct buyer and are not transferable.

§9 returns

For returns, we require that the defective article be sent in for repair or delivered to NNG marketplace - www.agroswiss.ch with a copy of the invoice with which the article was delivered. A return of products by the customer requires the prior consent of NNG marketplace - www.agroswiss.ch and is at the customer's expense and risk. The products must be returned in their original packaging and accompanied by a detailed description of the faults / defects and a return number. Products that we procure at the customer's request cannot be returned. The guarantee is limited exclusively to the repair or replacement of the damaged delivery items.

§10 retention of title

The delivered goods remain the property of NNG marketplace - www.agroswiss.ch until they have been paid for in full.

§11-1 Payment on account processed by: Swissbilling

Swissbilling is our partner for purchase on account payable in 30 days and purchase in installments. Swissbilling is responsible for all questions relating to payment.

Additional costs of CHF 1.50 for collection and effort!

The amount of CHF 1.50 is added to the amount of the invoice claim from the merchant and shown directly by swissbilling.

Please note that the relevant Swissbilling invoice will also contain the administration costs of +1.50 and, if necessary, the invoice costs and the costs for postage (+2.40 paper invoice and +2.50 counter fees) according to your selection during your order.

When purchasing on account, the amount invoiced must be paid to the account of our external partner, swissbilling AG , specified in the invoice, by the due date specified on the invoice form at the latest. The payment method purchase on account is not available for all offers and requires, among other things, a successful credit check by swissbilling AG. If the customer is allowed to purchase on account for certain offers after checking the creditworthiness, the processing of the payment takes place in cooperation with swissbilling AG, which takes over the invoice claim of the trader after the conclusion of the purchase contract. Even when purchasing on account via swissbilling AG, we remain responsible for general customer inquiries (e.g. regarding goods, delivery time, dispatch), returns, complaints, declarations of revocation and returns or credits. If you fail to meet your payment obligation, you will be in default at the end of the payment period set for you without any further reminder and you will have to pay interest on arrears of 5%. swissbilling AG is entitled to charge a reminder fee of up to CHF 10.00 per payment reminder as well as other fees, in particular the costs for any collection procedure. Furthermore, swissbilling AG can in future refuse to process the payment modalities of purchase contracts, also with regard to other dealers. The general terms and conditions of swissbilling AG apply. Retention of title; On Bill; Right of retention: A- In the case of consumers, we reserve ownership of the purchased item until the invoice amount has been paid in full. If you are an entrepreneur in your commercial or independent professional activity, a legal entity under public law or a special fund under public law, we reserve the ownership of the purchased item until all outstanding claims from the business relationship with the customer have been settled. The corresponding security rights are transferable to third parties. B- You are only entitled to offset if your counterclaims have been legally established or are undisputed or recognized by us. In addition, you only have a right of retention if and to the extent that your counterclaim is based on the same contractual relationship. C- If the customer is in arrears with any payment obligations, all existing claims are due immediately.

The invoices are payable by PostFinance, PayPal, credit card, cash on delivery, cash or strictly net within 30 days, unless otherwise agreed. Delivery is generally freight collect, ie at the expense of the buyer by parcel post, forwarding agent or his own vehicle, unless something else has been expressly agreed. A payment is only considered to have been made when we can dispose of the amount. If the buyer is in default, we are entitled to charge interest at a rate of 5% from the relevant point in time.

  • Interest on arrears: 5% of the amount owed

  • Per operation on the amount owed: From CHF 30.00 to CHF 150.00

The expenses charged by the debt enforcement office are added to the amounts mentioned above.

§11-3 Assignment of Payment / Credit Agencies

Agroswiss.ch is entitled to notify defaulting debtors (in accordance with §11, 11A and 11B payment and dunning fees) with regard to the business relationships granted or data received in connection with these//www.debitor.ch/">www.debitor.ch, to cede swissbilling AG in full with all data available to it.

§12 Limitation of Liability

Claims for damages from impossibility of performance, from breach of contract, from negligence when concluding the contract and from tort are excluded both against us and against our vicarious agents, unless there is intentional or grossly negligent action. No liability is accepted for consequential damage resulting from the use of the products.

§13 Copyrights / Software Warranty

If software is part of the scope of delivery, it is left to the buyer for one-time resale or for his own use, ie he may neither copy it nor allow others to use it. Software is excluded from all warranty conditions on forms. The provisions of the manufacturer's license agreement apply exclusively.

§14 data protection

Agroswiss.ch is entitled to process the data received about the buyer with regard to business relationships or in connection with them, regardless of whether they come from the buyer himself or from third parties, within the meaning of the Federal Data Protection Act (DSG). Personal customer data is treated confidentially and only passed on to third parties as part of the credit check. Please note our detailed data protection declaration .

The data protection declaration is an integral part of these terms and conditions. By accepting these terms and conditions, you also declare that you agree to the data protection declaration.

§15 Newsletter With the online order / registration the customer is included in the newsletter directory of erni & partner and receives the free e-mail newsletter with current offers and information at irregular intervals (approx. 4 6 to max. 14 times per year) around our products. Erni & Partner undertakes to treat the data confidentially and not to pass it on to third parties. The customer can of course unsubscribe from the newsletter at any time. If you no longer wish to receive the Agroswiss.ch newsletter in the future, you can unsubscribe at any time. Please note our detailed data protection declaration . - About 450 days after delivery an automatically generated email about "we miss you"

- Customers who have more than CHF 200 in their shopping cart will receive an automatically generated email with a voucher worth 20%.

§16 place of jurisdiction

CH-4923 Wynau is the exclusive place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship. Swiss law is exclusively applicable, with the express exclusion of the Federal Act on International Private Law (IPRG) and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
